OFFICIAL RULES AND REGULATIONS
NO PURCHASE IS NECESSARY TO ENTER OR CLAIM A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ELIGIBILITY: The Northwestern Mutual NCAA® March Madness® Bracket Challenge ("Game") begins at 12:00:00 p.m. (noon) Eastern Time ("ET") on March 8, 2012 and ends at 11:59:59 a.m. ET on March 15, 2012 (the "Entry Period"). The Game is open to all legal residents of the 50 United States and the District of Columbia, age 18 years or older, who have Internet access as of March 6, 2012 (the "Eligible Participants"). The Northwestern Mutual Life Insurance Company ("Northwestern Mutual") and Turner Sports Digital Services, Inc. ("TSDS") are, collectively, the "Sponsors." Employees, officers, directors, agents and shareholders (and their immediate families (spouse, parent, child, sibling and their respective spouses) and household members (whether or not related)) of TSDS, the National Collegiate Athletic Association ("NCAA"), Sports Technologies LLC, and each of their respective parents, subsidiaries, divisions, trustees, agents, judges, sponsors, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, with the Sponsors, the "Game Entities"), are ineligible. In addition, any person employed by or associated with any business client or prospective business client of Northwestern Mutual Investment Services, LLC, may enter only in his/her individual capacity. Sports Technologies LLC is the game administrator ("Game Administrator"). Void wherever prohibited by law. Game is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Game, Participants agree to accept and be bound by all terms of these Official Rules and Regulations ("Official Rules").
2. HOW TO ENTER:
During the Entry Period, Sponsors will conduct a Game encouraging Eligible Participants to enter for a chance to win a prize. Eligible Participants who accept the invitation to play and follow the steps to enter set forth below are "Participants". The Game is based on the results of the 2012 NCAA® Division I Men’s Basketball Championship Tournament (the "Tournament"). Participants will attempt to select the winners of the 63 games (the Game excludes First Round Tournament games on Tuesday, March 13, 2012 and Wednesday, March 14, 2012) the Tournament comprises. Prior to the Entry Period, Eligible Participants will receive or have access to an invitation from Sponsors (or from other Eligible Participants or Participants) (the "Invitation"), and/or to various websites and public communications, in any case which will include the Game’s URL and a Game participation code. Participants must click on the URL address provided (or copy and past the URL address to the Participant’s web browser) and type the participation code provided when directed to access the registration page. Each Participant must then follow all entry instructions to complete the registration page, including providing his/her name, address, telephone number (including the area code), email address, and participation code. Once registered, Participants must (i) log in into the Game website located at www.si.com/northwesternmutualbracket, (ii) click on the "Create Bracket" button and follow the instructions to create a player name and Tournament bracket, and predict one (1) winner for each of the 63 games in the Tournament, round by round, beginning with the Second Round (Round of 64); (iii) predict the combined total score of the Tournament championship game ("Tie-Breaker Question" or "Tie-Breaker One"); and (iv) follow the instructions to complete and submit the bracket. To be eligible, each bracket (the "Entry") must be received no later than 11:59:59 a.m. ET on March 15, 2012 ("Entry Deadline"). A Participant may edit his/her Entry any time before the Entry Deadline. All Entries must be submitted in the name of an individual person and the prize can only be awarded to the person whose name is on the winning Entry. Entries generated by script, macro or other automated means will be void. The Game Entities are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed Entries, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person’s ability to participate in the Game, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Game, including, without limitation, errors that may occur in connection with the administration of the Game, the processing of Entries, the announcement of the prize or in any Game-related materials. Sponsors and/or Game Administrator reserve the right, in their sole discretion, to modify, cancel or suspend the Game at any time, for any reason, including, without limitation, in the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsors’ control that corrupt the integrity, administration, security or proper operation of the Game. In the event of cancellation, Sponsors and/or Game Administrator reserve the right to award the prize from among all eligible, non-suspect Entries received prior to the event requiring such cancellation. False or deceptive Entries or acts will render the Participant ineligible. All Entries become the property of the Sponsors and will not be acknowledged or returned. Limit one (1) Entry per person.
3. SCORING: Participants will earn points by correctly predicting the winning teams in the 63 games of Tournament. The number of points awarded for each correct pick of a winning game of the Tournament will increase with each round of the Tournament. The exact number of points awarded in this Game is set forth below:

4. HOW TO WIN:
A. Public Prize: One (1) prize (the "Public Prize") will be awarded to the eligible Participant who is not part of the "Northwestern Mutual Field" with the highest total accumulated points as determined by the Game rules (the "Public Prize Winner"). The "Northwestern Mutual Field" means (i) Northwestern Mutual field management, (ii) Northwestern Mutual financial representatives and associate financial representatives, and (iii) employees of Northwestern Mutual general agents, Northwestern Mutual district agents, and Northwestern Mutual financial representatives. If there are multiple such public Participants who tie for the highest total accumulated points, then ties will be broken (as necessary) in the following order:

B. Northwestern Mutual Field Prize: One (1) Northwestern Mutual Field prize (the "Northwestern Mutual Field Prize") will be awarded to the eligible Participant who is a member of the Northwestern Mutual Field, who registers for the Game using his/her nmfn.com email address, with the highest total accumulated points as determined by the Game rules (the "Northwestern Mutual Field Prize Winner"). Northwestern Mutual financial representatives and field management must be contracted and in good standing as of February 24, 2012, and contracted or retired and in either case in good standing as of the date prizing is awarded, in order to be the Northwestern Mutual Field Prize Winner. If there are multiple such Northwestern Mutual Field Participants who tie for the highest total accumulated points, then ties will be broken (as necessary) in the following order:

C. Northwestern Mutual Team Captain Prize: One (1) prize (the "Northwestern Mutual Team Captain Prize") will be awarded to the Northwestern Mutual financial representative or member of Northwestern Mutual field management, if any, whose participation code matches the participation code of the Public Prize Winner (the "Northwestern Mutual Team Captain Prize Winner"). Northwestern Mutual financial representatives and field management must be contracted and in good standing as of February 24, 2012, and contracted or retired and in either case in good standing as of the date prizing is awarded, in order to be the Northwestern Mutual Team Captain Prize Winner.
Public Prize Winner, Northwestern Mutual Field Prize Winner, and Northwestern Mutual Team Captain Prize Winner are, collectively, "Winners." The potential Winners will be determined on or about April 12, 2012. Winners will be confirmed by e-mail and must meet all eligibility requirements including, without limitation, the timely execution and return of all necessary releases and documents (if any) required by Sponsors.
5. PRIZES:
A. Public Prize:
One (1) Public Prize Winner will receive one (1) five-day/four-night trip for Public Prize Winner and one (1) guest to the 2013 NCAA® Men’s Final Four® in Atlanta, Georgia (currently anticipated to take place April 6 - 8, 2013), at an approximate retail value of ("ARV") of Four Thousand Four Hundred Dollars ($4,400.00 US). The trip will include the following: (a) round-trip coach-class airline tickets from the major U.S. gateway airport nearest to Public Prize Winner’s residence to Hartsfield-Jackson Atlanta International Airport for Public Prize Winner and one (1) guest. If Public Prize Winner resides within 150 miles of the Atlanta, Georgia metro area, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value; (b) one (1) room, double occupancy, standard hotel accommodations (at a hotel determined by Sponsors) for Public Prize Winner and one (1) guest for four (4) nights; (c); two (2) tickets to the National Semifinal games; (d) two (2) tickets to Championship Final game; and (e) round-trip ground transportation for Public Prize Winner and one (1) guest between the airport and hotel, and between the hotel and Final Four venue.
B. Northwestern Mutual Field Prize:
One (1) Northwestern Mutual Field Prize Winner will receive one (1) five-day/four-night trip for Employee Winner and one (1) guest to the 2013 NCAA® Men’s Final Four® in Atlanta, Georgia (currently anticipated to take place April 6 - 8, 2013), at an approximate retail value of ("ARV") of Four Thousand Four Hundred Dollars ($4,400.00 US). The trip will include the following: (a) round-trip coach-class airline tickets from the major U.S. gateway airport nearest to Northwestern Mutual Field Prize Winner’s residence to Hartsfield-Jackson Atlanta International Airport for Northwestern Mutual Field Prize Winner and one (1) guest. One (1) Northwestern Mutual Team Captain Prize Winner will receive one (1) five-day/four-night trip for Northwestern Mutual Team Captain Prize Winner and one (1) guest to the 2013 NCAA® Men’s Final Four® in Atlanta, Georgia (currently anticipated to take place April 6 - 8, 2013), at an approximate retail value of ("ARV") of Four Thousand Four Hundred Dollars ($4,400.00 US). The trip will include the following: (a) round-trip coach-class airline tickets from the major U.S. gateway airport nearest to Northwestern Mutual Team Captain Prize Winner’s residence to Hartsfield-Jackson Atlanta International Airport for Northwestern Mutual Team Captain Prize Winner and one (1) guest. D. THE TOTAL ARV OF ALL PRIZES (3 PRIZES): Thirteen Thousand Two Hundred Dollars ($13,200 US). All trips/travel arrangements are determined by Sponsors in their sole discretion. Trips must be completed by April 9, 2013. Winners are responsible for all costs and expenses not expressly provided for above, including, but not limited to, additional ground transportation, meals, incidentals, tips, telephone calls, souvenirs, hotel charges, taxes, fees and other personal expenses incurred during the trip. Winners and guests must travel on the same itinerary (on dates specified by Sponsors, which may be subject to change) and are solely responsible for obtaining proper documentation (e.g., valid photo ID) prior to travel. All travel arrangements are subject to availability, blackout dates and other restrictions. All tickets are subject to terms and conditions of their issuers. Travel must be made through Sponsors’ agent, on a carrier of Sponsors’ choice, in seat locations determined by Sponsors. If any portion of the prizes is canceled or postponed for any reason, Sponsors will have no obligation to award compensation in lieu thereof, the remainder of the prizes will be awarded and Sponsors will have no further obligation to Winners. No substitution or transfer of prizes or cash redemptions permitted by the Winners. Sponsors reserve the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, in their sole discretion. Prizes are awarded "as is" with no warranty or guarantee, either express or implied, by Sponsors. Unclaimed prizes may not be awarded. Northwestern Mutual will comply with applicable tax reporting obligations for any Winner who is a Northwestern Mutual employee, Northwestern Mutual financial representative or member of Northwestern Mutual field management; otherwise, winners are responsible for the reporting and payment of all taxes (if any). All Winners are responsible for payment of any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. All prize details are in Sponsors’ sole discretion.
6. GENERAL RULES AND REGULATIONS:
A. By entering the Game, Participants grant Sponsors and their designees the right, without obligation, to use their names, entry name, likeness, city and state of residence, score and ranking, without compensation, for the purpose of executing the Game and also for the purposes of advertising and publicizing the goods and services of Sponsors and their designees and all matters related to the Game in any manner or medium, throughout the world, in perpetuity, unless prohibited by law. Game Entities expressly disclaim any responsibility for, and Participants agree to hold the Game Entities harmless against, liability for injury or loss to any person or property relating to participation in the Game or the delivery and/or subsequent use or misuse of any of the prizes awarded (including, without limitation, any travel or activity related thereto).
B. Winners and guest(s) will be required to sign affidavits of eligibility, liability releases and, except where prohibited by law, documents granting Sponsors the right to use their names, voices, pictures and likenesses, without compensation, for the purpose of advertising and publicizing the services of Sponsors and their designees and all matters relating to the Game. If requested, Winners and guest(s) will be required to execute these documents and return them within ten (10) days. Noncompliance within this time period may result in disqualification. Return of any prize or prize notification as undeliverable may result in disqualification and an alternate Winner may be selected in the Sponsors’ discretion. In the event any Winner declines his or her prize or fails to return completed releases, except where prohibited by law, Sponsors may elect, in their discretion, to select an alternate Winner.
C. Winners and guests, by acceptance of the prizes, release Game Entities from any and all liability claims or actions of any kind whatsoever for injuries, damages or losses to persons and property that may be sustained in connection with the receipt, ownership or use of the prize, or while preparing for, participating in, and/or traveling to or from any prize-related activity.
D. Game Entities and their employees, officers, directors, shareholders, agents, and their respective parent companies, affiliates, subsidiaries, and advertising, promotion and legal advisors are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected or incomplete entries; (ii) telephone, electronic, hardware, or software program, network, Internet, or computer malfunctions, failures, or difficulties; (iii) errors in transmission; (iv) any condition caused by events beyond the control of Sponsors that may cause either contest to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, use, or misuse of a prize, or from participation in the Game; or (vi) any printing or typographical errors in any materials associated with the Game.
E. If technical difficulties of any kind compromise the integrity or ability to continue online entry, Sponsors and/or Game Administrator reserve the right to modify or terminate the Game or any element of the Game. In the event of sabotage, acts of God, computer virus or other events or causes beyond the Sponsors’ control that corrupt the integrity, administration, security or proper operation of the Game, Sponsors and/or Game Administrator reserve the right, in their sole discretion, to modify, cancel or suspend the Game or any element of the Game. In the event of cancellation, Sponsors and/or Game Administrator reserve the right to award prizes from among all eligible, non-suspect entries received prior to the event requiring such cancellation. In the event the Game is cancelled prior to the stated expiration date, Participants will receive an e-mail.
7. DISPUTES: Participant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Game or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of Georgia or the appropriate state court located in Atlanta, Georgia; (b) all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Game but in no event attorneys’ fees; and (c) under no circumstances will Participant be permitted to obtain awards for and PARTICIPANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Participant and Game Entities in connection with the Game, shall be governed by and construed in accordance with the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia. NCAA, March Madness, Elite Eight, Sweet Sixteen, and Final Four are trademarks of or licensed by the National Collegiate Athletic Association. The NCAA is not a Sponsor of this Game.
8.
